Terms of Use for StackGuardian AI Services

1. Overview of StackGuardian AI Services​

StackGuardian AI ("AI Services") refers to artificial intelligence and machine learning features integrated into the StackGuardian platform. These capabilities may assist with tasks such as generating content, answering questions, providing recommendations, and automating workflows. For purposes of these AI Terms, “Customer Data” means all data, content, prompts, queries, inputs, or other information submitted by or on behalf of the Customer through the AI Services.

2. AI Model Provider​

StackGuardian AI is currently powered by Microsoft Azure OpenAI Services. By using the AI Services, you agree to the data handling, privacy, and security terms of Microsoft Azure Cognitive Services:

StackGuardian may engage additional or alternative third-party AI providers in the future. Any such providers will be subject to the same privacy, security, and compliance obligations under these AI Terms and the Agreement.

Third-Party Provider Dependencies​

The AI Services depend on third-party AI model providers. StackGuardian is not liable for:

  • Service interruptions, degradations, or failures caused by third-party AI providers
  • Changes to third-party provider terms, policies, or capabilities that affect AI Services
  • Discontinuation or modification of third-party AI models or services
  • Third-party provider data processing practices beyond StackGuardian's control

StackGuardian will use commercially reasonable efforts to maintain AI Services availability but makes no guarantees regarding third-party provider performance or continuity.

The AI Services are disabled by default for all organizations. Enabling them requires:

  • An authorized administrator to opt in through the StackGuardian dashboard.
  • Explicit acceptance of these AI Terms on behalf of the organization.

Use of the AI Services is entirely optional, and the StackGuardian platform remains fully functional without them.

4. Acceptance of AI Terms​

THESE AI TERMS, TOGETHER WITH THE AGREEMENT, GOVERN THE CUSTOMER'S USE OF THE AI SERVICES.

By enabling or using the AI Services, you confirm that you have read, understood, and accepted these AI Terms, and agree to be bound by them.

If you do not agree to these AI Terms, you must not enable or use the AI Services.

5. Supplemental Agreement​

These AI Terms supplement and are incorporated by reference into the StackGuardian Master Services Agreement or any other applicable governing Terms & Conditions (collectively, the "Agreement"). If there is a conflict between these AI Terms and the Agreement, these AI Terms will govern your use of the AI Services.

6. Intellectual Property & Customer Data​

  • All intellectual property related to the AI Services, including models, algorithms, and infrastructure, is owned by StackGuardian and its licensors or providers.
  • All content and data submitted by the Customer through the AI Services ("Customer Data") remains the exclusive property of the Customer.

Right to Use​

StackGuardian grants the Customer a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the AI Services, subject to compliance with these AI Terms, the Agreement, and applicable law.

7. Acceptable Use Policy​

You agree that you will not:

  • Reverse-engineer, decompile, modify, or misuse any AI output or underlying technology.
  • Use the AI Services for illegal, deceptive, or fraudulent activities.
  • Submit personal, regulated, or sensitive data without proper authorization.
  • Attempt unauthorized access to any StackGuardian system or related infrastructure.
  • Violate third-party intellectual property rights or applicable data protection laws.
  • Abuse the AI Services by generating excessive, automated, or malicious requests that may degrade performance.

8. Data Usage & Training​

  • Customer Data is not used to train or improve any underlying AI models unless you provide express written consent.
  • Customer Data is processed solely to deliver the AI Services, in accordance with our Privacy Policy, applicable law, and the privacy and security standards of our current and future third-party AI providers.
  • Data processing complies with Microsoft's Azure OpenAI policies and the policies of any additional or alternative providers engaged by StackGuardian, ensuring high privacy and security standards.

9. Customer Responsibilities​

The Customer is solely responsible for:

  • Ensuring that all Customer Data submitted to the AI Services complies with applicable laws and regulations, including data protection and privacy laws.
  • Obtaining all necessary rights, licenses, and consents to submit such data.
  • Not submitting any data that is confidential, proprietary, or subject to third-party rights without appropriate authorization.

10. Accuracy and Limitations​

  • AI output may sometimes be inaccurate, incomplete, or biased.
  • AI-generated content and suggestions are assistive only, and YOU ARE SOLELY RESPONSIBLE FOR VERIFYING AND VALIDATING ALL OUTPUT BEFORE RELYING ON IT.
  • STACKGUARDIAN DISCLAIMS ALL LIABILITY FOR ANY ACTIONS OR DECISIONS TAKEN BASED ON AI-GENERATED OUTPUT.
  • STACKGUARDIAN MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR FITNESS FOR PURPOSE OF ANY AI-GENERATED CONTENT.

11. Access, Suspension, and Termination​

  • Access to the AI Services is at StackGuardian's sole discretion.
  • We may suspend, limit, or revoke access at any time, with or without notice, if misuse is detected or these AI Terms are violated.
  • StackGuardian reserves the right to update, modify, or discontinue the AI Services or these AI Terms at any time.

12. Disclaimers and Limitations of Liability​

All disclaimers, limitations of liability, and indemnities in the Agreement also apply to the AI Services. StackGuardian makes no warranties regarding the accuracy, availability, or reliability of AI-generated output.

By enabling or using StackGuardian AI Services, you acknowledge and agree to these Terms of Use.
